1. Company Overview
This Privacy & Service Policy outlines the terms that govern all services and client relationships with Majortale Global FZ-LLC ("Majortale", "we", "our", or "us"), operating commercially as Ripple. By entering into a proposal, agreement, or by submitting payment, you ("the Client") acknowledge and accept the terms described in this document.
Ripple is the commercial brand name under which Majortale Global FZ-LLC operates its visibility and content services. All references to "Ripple" throughout this document refer to services provided by Majortale Global FZ-LLC.
Majortale/Ripple operates as a boutique visibility and content agency, providing personal branding, strategic storytelling, and media exposure services for individuals and organizations. Our goal is to offer clarity, consistency, and high-quality execution while maintaining transparency and trust in every collaboration.
2. Entity & Jurisdiction
From January 2025 onwards, all invoicing and payments are managed exclusively by Majortale Global FZ-LLC (operating as Ripple), registered in the United Arab Emirates.

All services, transactions, and disputes are governed by UAE law and fall under the jurisdiction of the courts of Ras Al Khaimah.
3. Payment & Invoicing
All payments are processed in euros (EUR) through our UAE accounts at WIO Bank. Invoices are issued without VAT, as Majortale Global FZ-LLC operates as an international entity exempt from VAT under UAE law.
Payments must be completed within 30 calendar days from the date of invoice, unless otherwise agreed in writing.

3a. Late Payment Enforcement
Late payments will be subject to the following:
- Reminder Fee: A one-time administrative fee of €50 will be charged for the first payment reminder sent after the due date
- Late Payment Interest: Overdue invoices will incur a late fee of 10% per month (or part thereof) calculated on the outstanding balance, applied from the original due date
- Service Suspension: Immediate suspension of all services until payment is received
- License Revocation: Revocation of the Client's license to use any materials produced under this agreement until full payment is made
- Collection Costs: If legal action is required to recover payment, the Client agrees to reimburse Majortale for all reasonable legal fees and collection costs
All invoices and payments are processed exclusively through UAE-based accounts and are subject to UAE law.
4. Engagement Terms
Ripple operates as a boutique firm, serving a maximum of 100 active clients at any given time to maintain high service quality and personal focus.
For recurring services, the minimum engagement term is three months, unless the collaboration is defined as a one-time project (such as Ground Zero, workshops, or audits).
All payments are non-refundable. Cancellations must be made in writing within the required notice period. The following conditions apply:
- For quarterly collaborations, a one-month notice period is required prior to renewal or termination.
- For annual collaborations, a three-month notice period is required prior to renewal or termination.
4a. Cancellation Notice Requirements
Cancellation notices must be submitted in writing to joost@majortale.com and acknowledged by Majortale to be considered valid. Verbal cancellations or notifications to other email addresses will not be accepted.
Unless written notice is provided within these timeframes, recurring invoices and service agreements will automatically renew under the same conditions and rates for the next contractual period.
4b. Expiration of Unused Work
Work that has been delivered to the Client but not approved or published within 90 days of delivery is considered final and may not be revised without additional fees.
Work that was included in the scope but not requested by the Client before the end of the contractual term will expire and cannot be claimed retroactively.
4c. Project Completion Timelines
For Ground Zero projects and other strategic consulting engagements, all project work must be completed within 3 months from the project start date, unless otherwise agreed in writing.
The project start date is defined as the date of the first scheduled session or the invoice date, whichever comes first.
Delays caused by the Client (including but not limited to unavailability for scheduled sessions, late feedback, or failure to provide required materials) will extend this timeline accordingly without penalty to Majortale.
Work not completed within this timeframe due to Client delays may be subject to rescheduling fees or require a new project agreement.
5. Scope of Work & Deliverables
All services are defined in a separate proposal, statement of work, or agreement ("SOW"). The SOW will specify:
- Deliverables and timelines
- Revision limits
- Approval process
Changes to scope require written agreement and may result in additional fees.
Delays caused by the Client (e.g., late feedback, unavailable materials, failure to provide necessary access or information) may extend timelines without penalty to Majortale.
6. Ownership & Intellectual Property
All creative work—including but not limited to strategy documents, copywriting, visuals, photography, video, and brand materials—remains the intellectual property of Majortale Global FZ-LLC until full payment has been received.
Once full payment has been completed, clients are granted a non-exclusive license to use the approved deliverables for business, marketing, and communication purposes.
Ripple retains the right to use materials created under this agreement—including visuals, text, and creative assets—for marketing, portfolio, or case study purposes unless explicitly restricted by written agreement.
Any frameworks, processes, or intellectual methods developed by Majortale remain proprietary and are not transferred as part of any project or deliverable.
7. Client Approval & Liability
The Client is responsible for reviewing and approving all deliverables before publication or use.
Approval may be:
- Explicit: Written confirmation of approval
- Implicit: Use of materials without objection within 7 days of delivery
Once approved or used, Majortale is not liable for errors, omissions, reputational harm, or business consequences resulting from the content, even if such issues were present in the original deliverables.
While Ripple maintains the highest quality standards, we cannot be held responsible for direct or indirect damages, reputational harm, or business loss resulting from the use or interpretation of our work after Client approval.
8. Liability & Limitation of Responsibility
Majortale does not guarantee specific performance results—such as engagement numbers, media exposure, or platform visibility—as these depend on external variables outside our control.
Our liability is limited to the total fees paid by the Client for the specific services in question.
9. Confidentiality
All information, materials, and communications shared between Ripple and its clients are treated as strictly confidential. We do not disclose, sell, or distribute client data to third parties without explicit written consent, except where disclosure is required by law.
This confidentiality applies to all creative materials, internal documents, business strategies, and conversations throughout the duration of the engagement and after its completion.
10. Privacy & Data Handling
Ripple only collects the information necessary to deliver our services effectively—including contact details, company information, and billing data. All data is securely stored in encrypted systems accessible only to authorized personnel.
We never sell or share personal or business data for external marketing purposes.
10a. Data Protection and Privacy Compliance
Majortale processes personal data in accordance with applicable data protection laws, including GDPR where relevant.
Clients have the right to:
- Access their data
- Request corrections or deletions
- Withdraw consent for non-essential data processing
Data retention: Client data will be securely stored for the duration of the engagement and for up to 3 years afterward for legal and operational purposes, unless deletion is explicitly requested.

By engaging with Ripple, you consent to this limited use of personal data as outlined here, in accordance with international data protection standards.
11. Creative Process & Revisions
By working with Ripple, clients acknowledge and trust our professional judgment and creative process. We approach each project strategically to ensure alignment between business goals, messaging, and execution quality.
Feedback is always welcomed, but extensive revisions or scope changes beyond the agreed framework may incur additional costs. Ripple reserves the right to make final decisions on creative direction to maintain quality and consistency.
12. Third-Party Tools & Integrations
Ripple may use third-party platforms and tools such as analytics software, scheduling systems, or AI solutions to support its work. While we take every precaution to ensure their reliability, we are not responsible for downtime, data loss, or errors caused by these external providers.
13. Client Responsibilities
The Client agrees to:
- Provide timely feedback and approvals within agreed timelines
- Supply necessary materials (photos, data, access credentials) when required
- Ensure all information provided is accurate and does not violate third-party rights
- Comply with platform terms of service (e.g., LinkedIn's user agreement)
Failure to meet these responsibilities may result in project delays, additional fees, or termination of services without refund.
14. Termination
Either party may terminate this agreement with written notice if:
(a) The other party fails to meet material contractual obligations and does not remedy such failure within 15 days of written notice
(b) The other party becomes insolvent or enters bankruptcy proceedings
(c) There is a material breach of confidentiality obligations
Termination does not relieve the Client of payment obligations for work completed or services rendered up to the termination date.
Ripple reserves the right to pause or terminate services in cases of non-payment or conduct that disrupts collaboration.
15. Force Majeure
Neither party will be held liable for delays or non-performance caused by events beyond their reasonable control, including but not limited to:
- Natural disasters, pandemics, or acts of God
- Platform outages (LinkedIn, scheduling tools, payment processors)
- Government actions, regulatory changes, or legal restrictions
- Cyber attacks, data breaches, or infrastructure failures
In such cases, the affected party must notify the other party promptly and make reasonable efforts to resume performance.
16. Dispute Resolution
In the event of a dispute, both parties agree to:
1. Direct Negotiation (30 days): First attempt resolution through direct communication
2. Mediation (60 days): If unresolved, engage in mediation with a neutral third-party mediator agreed upon by both parties
3. Legal Action: If mediation fails, either party may pursue legal action under UAE law in the courts of Ras Al Khaimah
The costs of mediation will be shared equally unless otherwise agreed.
All matters will be governed by UAE law and adjudicated in the courts of Ras Al Khaimah.

This document constitutes the complete agreement between Majortale Global FZ-LLC (operating as Ripple) and the Client, superseding any prior verbal or written agreements.
